Notice period cuts both ways

A notice clause binds the employer as much as the employee. Buy-out terms should say whether the amount is calculated on basic salary or gross — a difference that causes real disputes at exit.

Restrictive covenants have limits

Section 27 of the Indian Contract Act makes agreements in restraint of trade void. Post-employment non-compete clauses are generally unenforceable in India, though confidentiality and non-solicitation obligations stand on firmer ground.

POSH compliance is not optional

Any workplace with ten or more employees must have an Internal Committee under the Sexual Harassment of Women at Workplace Act, 2013. Referencing the policy in the offer letter is good practice, but the committee has to actually exist.

Frequently asked questions

Is an offer letter legally binding?
Once accepted it forms a contract of employment. Withdrawal after acceptance can give rise to a claim, particularly where the candidate has resigned elsewhere in reliance on it.
Can an employer enforce a non-compete after resignation?
Generally not. Section 27 of the Contract Act renders restraints of trade void, and Indian courts have consistently declined to enforce post-employment non-competes.
Is a notice period buy-out lawful?
Yes, where the contract provides for payment in lieu of notice. The basis of calculation should be stated explicitly.
What is the difference between an offer letter and an appointment letter?
An offer letter proposes the terms; an appointment letter is issued on joining and forms the operative contract. In practice many employers use a single document.
